How much does it cost to form an ApS?

On this page

If you’re thinking about starting a limited liability company, one of the first things you’ll want to know is how much it will cost. The short answer is that you’ll need 20,000 kroner in share capital and a registration fee of 670 kroner to the Danish Business Authority to get started. The long answer depends on how much consulting you receive and whether the capital is contributed in cash or as assets. At Accountview, we give you the price in black and white so you can make an informed decision.

The foundation's fixed expenses

No matter which advisor you choose, some expenses remain the same. The corporate capital of 20,000 kroner must be deposited into the company’s business account, and the 670 kroner must be paid to the Danish Business Authority upon digital registration. The capital itself remains your money and can be used for operations, purchases, or investments as soon as the company is incorporated. The registration fee, on the other hand, is a one-time expense that cannot be deducted as an operating expense.

If you’re opening a business account, some banks charge a small fee, while others don’t. We partner with Lunar, which lets you open an account for free as part of our starter package.

Here are the prices for consulting services

In addition to the fixed expenses, there are consulting fees related to the actual establishment of the foundation. Prices vary in this regard, and it’s worth paying attention to what is actually included.

  • Purely digital foundation establishment without consulting services: 0 to 1,500 kroner
  • Cash incorporation through an accountant or attorney: 4,000 to 6,000 kroner
  • Incorporation with a non-cash contribution or tax-free business conversion: 10,000 to 18,000 kroner

At Accountview, we offer a fixed-price cash incorporation package that includes consulting, incorporation documents, articles of association, a list of shareholders, registration with the Danish Business Authority, and setup of accounting in Billy, Dinero, or e-conomic. If you choose a non-cash contribution, the valuation report and opening balance sheet are included in the package. You’ll receive a clear price quote before we get started.

Ongoing expenses you should budget for

Starting an ApS is just the beginning. The company must prepare an annual report, file tax returns with the tax authorities, and have a functioning accounting program. Typical recurring tasks include:

  • Annual Report and Tax Return: Starting at 4,000 kroner per year for a small company
  • Bookkeeping package: starting at 500 kroner per month, depending on the volume of receipts
  • Accounting software: 100 to 400 kroner per month
  • Business account and debit card: 0 to 200 kroner per month

With us, annual reports, tax returns, and ongoing bookkeeping are all included in a fixed monthly fee, and you’ll have the same advisor throughout the entire process. 94 percent of our clients stay with us for more than five years, and it’s often the fixed prices and personal touch that make the difference.

How long does it take to set up an ApS?

The actual digital registration of an ApS through the Danish Business Authority takes anywhere from the same day to five business days, depending on the backlog and the type of capital contribution. For cash incorporations, we typically have the company ready within two to five days. For contributions in kind, it takes a little longer because a valuation report and opening balance sheet must be prepared first. We’ll provide a specific time estimate once we know your setup.

Frequently Asked Questions

Can I pay the incorporation costs out of the company's own capital?

Yes, that’s a common solution. As soon as the company has a CVR number and a business bank account, the expenses can be paid from the company’s bank account. If you’ve paid the amount out of your own pocket, it’s recorded as an advance, and the money will be reimbursed to you once the company is up and running. We’ll record it correctly so there’s no confusion.

An online tool sends your information directly to the Danish Business Authority and is the most affordable option, but you’ll be responsible for audits, the chart of accounts, and tax matters afterward. An accountant verifies that the structure makes sense, that the articles of incorporation cover future needs, and that the bookkeeping is set up correctly from day one. With Accountview, you get the best of both worlds: a digital process at a fixed price and an advisor you can call.

The fee paid to the Danish Business Authority and the company’s capital cannot be deducted as operating expenses. Consulting fees paid to an accountant or attorney, on the other hand, can generally be deducted over time when they are related to business operations. We record these entries correctly so that you don’t miss out on any potential deductions.
